Terms of service

Last updated:

This document explains the terms and conditions that govern your use of our services. Please read carefully before engaging with [Agency Name].

1. Acceptance of Terms

By accessing, using, or purchasing any service offered by [Agency Name], you confirm that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you should discontinue use of our services immediately. These terms apply to all clients, visitors, and users who interact with our website or services in any capacity.

2. Services

[Agency Name] provides short-form video marketing services including but not limited to content strategy, video production, editing, and distribution. The specific scope, deliverables, timelines, and pricing of each engagement are defined in a separate proposal or service agreement issued prior to the start of work. Any changes to agreed scope must be requested in writing and may affect timelines and pricing.

3. Payment

All fees are due as outlined in your individual proposal or invoice. Unless otherwise agreed, invoices are payable within 14 days of issuance. Late payments may result in a temporary pause of active work until the outstanding balance is settled. [Agency Name] reserves the right to charge a late fee on overdue invoices.

4. Revisions & Approvals

Each project includes a defined number of revision rounds as specified in the proposal. Additional revisions beyond the agreed scope will be invoiced separately. Client approval at each stage is required before proceeding to the next phase of production.

5. Intellectual Property

Upon receipt of full payment, the client receives full ownership of all final deliverables produced under the engagement. [Agency Name] retains ownership of all raw files, drafts, and intermediate assets unless otherwise agreed in writing. We reserve the right to feature completed work in our portfolio, case studies, and marketing materials unless the client requests confidentiality in advance.

6. Confidentiality

Both parties agree to treat all shared information — including strategies, briefs, business data, and creative materials — as confidential during and after the engagement. Neither party will disclose confidential information to third parties without prior written consent.

7. Client Responsibilities

The client agrees to provide all necessary materials, feedback, and approvals in a timely manner. Delays caused by the client may affect agreed timelines. [Agency Name] is not responsible for missed deadlines resulting from late client input.

8. Limitation of Liability

[Agency Name] shall not be held liable for any indirect, incidental, or consequential damages arising from the use of our services, including but not limited to loss of revenue, data, or business opportunities. Our total liability in any case shall not exceed the fees paid for the specific project in question.

9. Termination

Either party may terminate the agreement with 14 days written notice. All work completed up to the termination date will be invoiced and is payable in full. Deposits are non-refundable once work has commenced.

10. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of [Jurisdiction]. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of [Jurisdiction].
